IR Policy
In order to ensure appropriate disclosure, etc., of company information as required by the Corporate Governance Code, the Company actively works to provide information and engage in communication through investor relations (IR) activities.
Basic Attitude for Information Disclosure
The Company engages in appropriate and timely disclosure of financial information and non-financial information in accordance with laws, regulations, and rules related to the disclosure of company information. Furthermore, even in the case of information for which disclosure is not absolutely required by laws, regulations, and rules related to the disclosure of company information, the Company voluntarily makes disclosures as necessary by carefully considering the degree of impact on stakeholders such as shareholders and investors. The Company strives to develop and enhance internal systems in order to engage in disclosure of fair, easy-to-understand, and useful information.
Information Disclosure Standards
The Company strives to disclose company information in a timely and appropriate manner in accordance with legally-stipulated disclosure per the Companies Act, the Financial Instruments and Exchange Act, etc., as well as in accordance with the securities listing regulations as defined by the Tokyo Stock Exchange. Even in the case of information which is not targeted for legally-stipulated disclosure or timely disclosure, the Company engages in fair and swift disclosure of important information which is thought to impact investment decisions in a manner which is equally available to all stakeholders.
Information Disclosure Methods
In regards to timely disclosure in accordance with the securities listing regulations, the Company performs disclosure through the Timely Disclosure network (TDnet) provided by the Tokyo Stock Exchange. Also, information that was disclosed through TDnet is quickly posted on the Company’s website.
Future Outlook
Information disclosed by the Company may include statements regarding business forecasts and future prospects. Such information consists of forecasts and prospects which the Company judged to be reasonable based on information that was available at the time of disclosure. However, the information contains uncertainty. Therefore, please be aware that the performance forecasts and future prospects described may differ from the actual business performance due to various factors such as changes in economic conditions and market trends.
IR Activities Quiet Period
In order to prevent leakage of financial results information and to ensure fairness, the Tenox Group has a quiet period from the day after the closing date (including quarterly closing dates) to the announcement date. During this period, the Group will refrain from responding to comments and questions related to financial results. However, if it becomes clear that the business forecast will change significantly during the silent period, the Group will disclose information in a timely and appropriate manner in accordance with the timely disclosure rules of the Tokyo Stock Exchange.
